CheckFree and Corillian Acquisition Overview

Through an acquisition completed on May 15, 2007, Corillian became a wholly owned subsidiary of CheckFree Corporation (Nasdaq: CKFR). The integration of CheckFree’s industry-leading electronic billing and payment solution with Corillian’s industry leading online banking front end creates a world-class user experience for consumers, and delivers more flexible deployment options for financial institutions. As a result of the acquisition, Corillian is no longer a publicly traded company. At the effective time of the acquisition, each outstanding share of Corillian common stock was cancelled and automatically converted into the right to receive $5.15 in cash, without interest.
